Billing Authorization & Auto-Renewal Agreement

This Billing Authorization & Auto-Renewal Agreement ("Agreement") is entered into between you and HiData Pte. Ltd ("hiData," "we," "us") and governs payment authorization, recurring charges, and subscription billing for the hiData services (the "Service").

By purchasing a subscription, starting a free trial, adding paid features, or otherwise providing a payment method through the Service, you agree to be bound by this Agreement. This Agreement supplements the hiData Terms of Use and forms part of your legal agreement with hiData. If there is a conflict, this Agreement controls for billing and payment matters.

1. Plans and Pricing

hiData may offer free features and paid subscription plans (including individual and team/workspace plans). Plan details, pricing, billing frequency, and included features will be displayed to you in the Service at the time you subscribe, upgrade, or renew (for example, in the upgrade window or checkout). Pricing may vary by location and may be determined based on the billing information you provide.

For team/workspace subscriptions, the team owner/admin (or the account designated as payer) is responsible for all charges associated with the team, including charges resulting from plan changes, additional seats, or usage-based fees (if applicable).

2. Payment Authorization

When you provide a payment method and proceed with a paid purchase, you authorize hiData (and our third-party payment processors) to:

  • Store your payment method and billing information (as permitted by law and payment network rules);
  • Charge your payment method for applicable amounts you approve through the Service, including subscription fees, renewals, upgrades, added seats (for teams), applicable taxes, and other fees clearly presented at checkout; and
  • Retry failed charges if a payment is declined or cannot be processed, subject to payment processor rules.

You confirm that you are authorized to use the selected payment method and that your billing information is accurate and kept up to date.

3. Recurring Billing and Automatic Renewal

Subscriptions are billed on a recurring basis (for example, monthly or annually, as shown at checkout). Your subscription will renew automatically at the end of each billing period unless you cancel it before the renewal date/time shown in your account or checkout flow.

Upon renewal, you authorize us to charge the then-current subscription fee (plus applicable taxes) using your saved payment method.

4. Fees and Taxes

Fees are shown at checkout and are exclusive of taxes unless stated otherwise. Applicable taxes (including VAT/GST/sales tax) may be added based on your location and the billing information you provide.

5. Cancellation

You may cancel your subscription at any time through your account settings or through the cancellation option provided in the Service. Unless otherwise stated at the time you cancel, cancellation typically takes effect at the end of your current billing period, and you will keep access to paid features until then.

A cancellation is considered completed only when your subscription status updates in your account (or you receive an in-product confirmation).

6. Refunds and Exceptions

We aim to be fair. In general, subscription fees are charged upfront for each billing period, so we typically do not provide automatic refunds or credits for unused time.

However, we may issue refunds or credits in reasonable circumstances, such as:

  • Duplicate or accidental charges;
  • Technical billing errors; or
  • Where required by applicable law.

If you believe you were charged incorrectly, please contact us at support@hidata.ai (or the support method shown in the Service). We may request relevant details (e.g., invoice ID, account email) to help resolve the issue.

7. Free Trials and Pilot Programs

hiData may offer free trials or pilot programs at its discretion, with varying eligibility rules and duration. Unless you cancel before a trial ends, your trial may convert to a paid subscription automatically, and you authorize us to charge your payment method for the subscription fee and applicable taxes.

If payment cannot be processed after a trial ends, access to paid features may pause or end.

8. Price Changes

We may update pricing from time to time. If a price change applies to your subscription, we will provide notice as required by law, and the change will take effect no earlier than your next renewal (or later if stated in the notice). If you keep your subscription active after the change takes effect, you agree to the updated price.

9. Failed Payments; Service Changes

If a payment fails or is reversed (including chargebacks), we may retry the charge and/or temporarily suspend or downgrade access to paid features until payment is resolved. You remain responsible for any unpaid amounts.

10. Third-Party Payment Processing

Payments are processed by third-party payment processors. Their respective terms and privacy practices may also apply. hiData is not responsible for outages or errors caused by payment processors, except where required by applicable law.

11. Billing Communications

We may send billing-related communications (receipts, renewal reminders, failed payment notices, and changes to this Agreement) via email and/or in-product notifications.
